02Services Description
SOLVIT Canada is an Ottawa-based technology services company. We provide:
- Technology services for organizations and selected households, primarily in the Ottawa area
- Supervised, paid participation in client projects for emerging technology professionals who have the legal right to work in Canada
- Mentorship and professional references connected to that project work
- Partnerships with education institutions, employers, funders and community organizations
Each client engagement is governed by its own written quote or service agreement, which prevails over these Terms where they differ.
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.
03User Accounts
When you create an account with us, you must:
- Provide accurate, complete, and current information
- Maintain the security of your password and account
- Notify us immediately of any unauthorized use
- Accept responsibility for all activities that occur under your account
We reserve the right to disable any account at any time if, in our opinion, you have violated any provision of these Terms.
04Project Participation
If you are selected to contribute to a SOLVIT client project, you agree to:
- Follow your supervisor's direction and our quality and safety procedures
- Keep client information confidential
- Attend scheduled sessions and meet agreed deadlines
- Participate in good faith in mentorship activities
- Follow our code of conduct
Your role, pay, schedule and confidentiality obligations are set out separately in your written agreement with SOLVIT.
05Payment Terms
For paid technology services:
- All fees are quoted in Canadian dollars (CAD) unless otherwise stated
- Payment is due according to the terms in your quote or service agreement
- Late payments may result in suspension of services
- Refund requests are handled according to your quote or service agreement
- We reserve the right to change pricing with reasonable notice
06Intellectual Property
All content on our website, including but not limited to:
- Text, graphics, logos, and images
- Audio and video content
- Software and code examples
is the exclusive property of SOLVIT or our licensors and is protected by Canadian and international copyright laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.
07User Conduct
You agree not to:
- Use our services for any unlawful purpose
- Violate any applicable laws or regulations
- Infringe on the rights of others
- Transmit any harmful code or malware
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt our services
- Impersonate any person or entity
- Collect or harvest personal information of others
- Use our services to compete with us
08Disclaimer of Warranties
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:
- Implied warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
We do not guarantee:
- Employment or job placement after taking part in a SOLVIT project
- Specific income levels or earning potential
- That our services will be uninterrupted or error-free
09Limitation of Liability
To the maximum extent permitted by law, SOLVIT shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, use, goodwill, or other intangible losses
- Any damages arising from your use or inability to use our services
- Any conduct or content of any third party on our services
Our total liability shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
10Indemnification
You agree to indemnify, defend, and hold harmless SOLVIT and our officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with:
- Your access to or use of our services
- Your violation of these Terms
- Your violation of any third-party rights
11Termination
We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms.
Upon termination:
- Your right to use our services will cease immediately
- You must cease all use of our materials and content
- Provisions that should survive termination will remain in effect
12Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.
Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Ottawa, Ontario.
13Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date.
Your continued use of our services after any changes constitutes acceptance of the new Terms.
